Service Agreement

1. Acceptance of Terms

Welcome to CipherNest. By accessing or using our password management service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.

2. Description of Service

CipherNest provides a password management service that allows users to securely store, manage, and sync passwords and other sensitive credentials across devices. Our service includes:

  • Password generation and storage
  • Encrypted vault with zero-knowledge architecture
  • Optional cloud synchronization
  • Breach monitoring and security alerts
  • Team collaboration features (for applicable plans)

3. User Accounts

Account Creation

To use our service, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Master Password

Your master password is the key to your encrypted vault. Due to our zero-knowledge architecture, if you lose your master password, we cannot recover your data. You are solely responsible for remembering and securing your master password.

Account Security

You are responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree to use CipherNest only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the service in any way that violates any applicable law or regulation
  • Attempt to gain unauthorized access to any portion of the service
  • Interfere with or disrupt the service or servers or networks connected to the service
  • Use the service to store or transmit malicious code or illegal content
  • Reverse engineer, decompile, or disassemble any portion of the service
  • Share your account credentials with others

5. Subscription and Payment

Free and Paid Plans

CipherNest offers both free and paid subscription plans. Paid plans are billed on a recurring basis according to the billing cycle you select.

Payment Terms

All fees are exclusive of taxes, and you are responsible for paying all applicable taxes. Payment is due at the beginning of each billing cycle and is non-refundable except as required by law.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will continue to have access to paid features until the end of your current billing period.

6. Data and Privacy

Your use of CipherNest is also governed by our Privacy Policy. We employ zero-knowledge encryption, which means we cannot access your stored passwords or credentials. You are solely responsible for backing up your data.

7. Intellectual Property

The service and its entire contents, features, and functionality are owned by CipherNest and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain all rights to the data you store in CipherNest. By using our service, you grant us the right to store and process your encrypted data solely for the purpose of providing the service to you.

8. Service Availability

While we strive to provide reliable service, we do not guarantee that the service will be available at all times or that it will be error-free. We may suspend or terminate the service for maintenance, updates, or other reasons with or without notice.

9. Limitation of Liability

To the maximum extent permitted by law, CipherNest shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the service
  • Any bugs, viruses, or other harmful code that may be transmitted through the service

10. Indemnification

You agree to indemnify, defend, and hold harmless CipherNest and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the service or your violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the service will immediately cease.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States, without regard to its conflict of law provisions.
